Terms of Service

By accessing or using CodeSalvage ("the Platform," "we," "us," or "our"), operated by Hanamori Labs, LLC, a Delaware limited liability company, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Platform.
Platform Description: CodeSalvage is an online marketplace connecting sellers of unfinished code projects with buyers seeking starter code for development projects. Operator: Hanamori Labs, LLC, 1111b South Governors Avenue, Dover, DE 19904, United States.2. Definitions
- "Seller": A user who lists unfinished code projects for sale on the Platform.
- "Buyer": A user who purchases code projects from Sellers.
- "Project": Unfinished source code, documentation, and related assets listed by a Seller.
- "Transaction": The purchase and delivery of a Project from Seller to Buyer.
- "Escrow Period": A 7-day period after purchase during which payment is held before release to Seller.
- "Platform Fee": The commission charged by CodeSalvage on each Transaction (18% of sale price).
3. Eligibility
3.1 Age Requirement
You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years of age.
3.2 Account Registration
You must register for an account using GitHub OAuth. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized account use
- Be responsible for all activities under your account
3.3 Prohibited Users
You may not use the Platform if:
- You are prohibited by law from using the Platform
- Your account has been previously terminated for violation of these Terms
- You are located in a country embargoed by the United States
4. User Roles and Responsibilities
4.1 Sellers
Eligibility:- Must have a valid GitHub account
- Must complete Stripe Connect onboarding for payment processing
- Must provide tax information (W-9 for US residents, W-8BEN for international)
- Provide accurate descriptions of Projects, including completion percentage and known issues
- Deliver source code and documentation as described
- Respond to Buyer inquiries within reasonable timeframes
- Not misrepresent the state of Projects
- Ensure you have the right to sell the code (no stolen or plagiarized code)
- Listing Projects containing malicious code (viruses, malware, backdoors)
- Listing Projects you do not own or have rights to sell
- Significantly misrepresenting completion percentage or functionality
- Selling the same Project as "exclusive" to multiple Buyers without disclosure
- Contacting Buyers outside the Platform to circumvent fees
4.2 Buyers
Responsibilities:- Review Project descriptions, screenshots, and known issues before purchasing
- Understand that Projects are unfinished and may require additional work
- Complete review of code within 7-day Escrow Period
- Provide honest and fair reviews of purchased Projects
- Disputing Transactions based on issues that were disclosed in Project description
- Requesting refunds after Escrow Period expires (except in cases of fraud)
- Redistributing purchased code in violation of license terms
- Leaving false or misleading reviews
5. Project Listings
5.1 Content Standards
All Projects must:
- Contain legitimate, functional source code
- Include accurate descriptions and completion percentages
- Disclose all known issues and limitations
- Not contain malicious code, viruses, or security vulnerabilities
- Not infringe on third-party intellectual property rights
5.2 Prohibited Content
Projects must not contain:
- Stolen or plagiarized code
- Code that violates third-party licenses or copyrights
- Malware, viruses, trojans, or other malicious code
- Code that facilitates illegal activities
- Personal information of third parties without consent
- Pornographic or illegal content
5.3 Project Limits
- Free Tier: Maximum 3 active Project listings
- Pro Tier ($9.99/month): Unlimited active listings
6. Transactions and Payments
6.1 Pricing
Sellers set their own prices in USD. All prices are displayed in USD and charged in USD.
6.2 Platform Fees
Seller Fees:- 18% Platform commission on each sale
- Stripe processing fees: 2.9% + $0.30 per transaction
- Buyer pays: $500
- Stripe fee: $14.80
- Platform commission: $90
- Seller receives: $395.20
- No additional fees beyond listed price
- Price shown is the price paid
6.3 Payment Processing
Payments are processed via Stripe. By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy.
6.4 Escrow System
Purpose: Protect Buyers by holding payment for 7 days after purchase. Process:- Buyer completes purchase, payment is held in escrow
- Buyer receives code immediately
- Buyer has 7 days to review code and report issues
- If no dispute, payment releases to Seller after 7 days
- If dispute, Platform reviews and decides on refund
- Automatic payouts: Weekly (every Monday) for balances > $50
- Manual payouts: Available anytime for balances > $50
- First payout may take 7-10 business days (Stripe verification)
7. Refunds and Disputes
7.1 Refund Eligibility
Refunds may be granted during the 7-day Escrow Period if:
- Project does not match description (e.g., advertised features missing)
- Completion percentage significantly inflated (claimed 80%, actually 40%)
- Major features are non-functional and not disclosed
- Code files are missing or corrupted
7.2 Non-Refundable
Refunds will NOT be granted for:
- Buyer inability to run or understand the code (setup assistance is Buyer's responsibility)
- Minor bugs in unfinished code (expected in incomplete Projects)
- Issues disclosed in "Known Issues" section of Project description
- Change of mind or buyer's remorse
- Disputes opened after 7-day Escrow Period
7.3 Dispute Process
- Open Dispute: Buyer opens dispute within 7 days with evidence
- Seller Response: Seller has 48 hours to respond with counter-evidence
- Platform Review: We review both sides within 2-3 business days
- Decision: Full refund, partial refund, or no refund
- Final: Decision is final and binding
7.4 Dispute Evidence
Buyers should provide:
- Screenshots of issues
- Specific description discrepancies
- Error messages or logs
- Comparison of advertised vs. actual functionality
8. Code Delivery and Licensing
8.1 Delivery Method
Code is delivered via:
- ZIP File Download: Available immediately after purchase
- GitHub Repository Access: If Seller provides repository access
8.2 License Types
Projects are sold under one of three license types:
1. Full Code Transfer (Most Common):- Buyer owns all rights to the code
- Buyer may use commercially, modify, resell, redistribute
- Seller retains no rights after sale
- Buyer may use commercially and modify
- Buyer may NOT resell code as-is
- Buyer MAY sell products built on top of code
- Seller retains original rights
- Terms defined by Seller in Project description
- Buyer should clarify before purchase
8.3 Intellectual Property
Seller Warranties: By listing a Project, Seller warrants that:- They own all rights to the code or have permission to sell
- The code does not infringe on third-party IP rights
- The code does not contain proprietary third-party code without proper licensing
- Buyer receives all rights to modify, use commercially, and redistribute
- Buyer is not required to attribute Seller (though appreciated)
9. Reviews and Ratings
9.1 Review Eligibility
Only verified Buyers who completed a Transaction may leave reviews.
9.2 Review Guidelines
Reviews must:
- Be honest and based on actual experience
- Focus on code quality, completeness, and description accuracy
- Not contain offensive language, personal attacks, or discriminatory content
- Not be incentivized (no reviews in exchange for compensation)
9.3 Prohibited Review Conduct
Users may not:
- Leave fake or misleading reviews
- Review Projects they did not purchase
- Extort Sellers by threatening negative reviews
- Post reviews containing personal information of others
9.4 Review Moderation
We reserve the right to remove reviews that:
- Violate these Terms or review guidelines
- Contain offensive, defamatory, or illegal content
- Are determined to be fake or fraudulent
10. Prohibited Activities
Users may not:
10.1 Fraud and Abuse
- Engage in fraudulent transactions or chargebacks
- Create multiple accounts to circumvent restrictions
- Manipulate ratings or reviews
- Engage in price manipulation or anti-competitive behavior
10.2 Security and Technical
- Attempt to hack, disrupt, or compromise Platform security
- Use automated tools (bots, scrapers) without permission
- Reverse engineer or decompile Platform code
- Overwhelm Platform with excessive requests (API abuse)
10.3 Circumvention
- Contact other users outside Platform to avoid fees
- Share or sell account credentials
- Attempt to bypass payment processing or escrow
10.4 Illegal Activities
- Use Platform for money laundering, fraud, or illegal purposes
- Sell or distribute illegal content
- Violate export control or sanctions laws
11. Pro Subscription
11.1 Pro Seller Plan
Price: $9.99/month (billed monthly) Benefits:- Unlimited project listings
- Verified Pro badge
- 20% discount on featured listings
- Advanced analytics
- Priority support
11.2 Subscription Terms
- Subscriptions auto-renew monthly
- Cancel anytime (benefits end at end of billing period)
- No refunds for partial months
- Price subject to change with 30 days notice
11.3 Cancellation
To cancel:
- Navigate to account settings
- Click "Cancel Subscription"
- Benefits remain active until end of current billing period
- Project limit reverts to 3 active listings upon cancellation
12. Featured Listings
12.1 Pricing
- 1 Week: $49 ($39 for Pro members)
- 2 Weeks: $79 ($63 for Pro members)
- 1 Month: $129 ($103 for Pro members)
12.2 Benefits
- Featured badge on Project card
- Priority placement in search results
- Increased visibility
12.3 Terms
- Featured period starts immediately upon purchase
- No refunds for featured listings (purchased slots are non-refundable)
- Projects must meet quality standards to remain featured
13. Content Ownership and License
13.1 User Content
You retain ownership of content you upload (code, descriptions, images). By uploading content, you grant CodeSalvage a non-exclusive, worldwide, royalty-free license to:
- Display, reproduce, and distribute your content on the Platform
- Create derivative works for Platform functionality (thumbnails, previews)
- Use for marketing and promotional purposes
13.2 Platform Content
All Platform code, design, trademarks, and content (excluding user-generated content) are owned by CodeSalvage or licensors. You may not copy, modify, or distribute Platform content without permission.
14. Data Privacy
14.1 Data Collection
We collect and process personal data as described in our Privacy Policy. By using the Platform, you consent to data collection and processing.
14.2 Third-Party Services
We use third-party services:
- Stripe: Payment processing
- GitHub: Authentication
- Cloudflare R2: File storage
- SendGrid: Email notifications
- Sentry: Error monitoring
Each service has its own privacy policy and terms.
15. Disclaimers
15.1 Platform "As-Is"
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Platform will be uninterrupted or error-free
- Warranties that defects will be corrected
15.2 No Warranty on User Content
WE DO NOT WARRANT OR ENDORSE:
- The accuracy, quality, or legality of Projects listed by Sellers
- The ability of Sellers to complete sales or deliver code
- The ability of Buyers to pay for purchases
- That Projects are free from bugs, errors, or security vulnerabilities
15.3 Use at Your Own Risk
You acknowledge that:
- Projects are unfinished and may contain bugs
- You are responsible for reviewing code before use in production
- We are not liable for damages caused by use of purchased code
- Security vulnerabilities in purchased code are not our responsibility
16. Limitation of Liability
16.1 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANAMORI LABS, LLC (OPERATING AS CODESALVAGE) SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Damages arising from use or inability to use the Platform
- Damages arising from Transactions between users
16.2 Maximum Liability
OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF:
- $100 USD, OR
- The amount of fees you paid to CodeSalvage in the 12 months preceding the claim
16.3 Exceptions
This limitation does not apply to:
- Liability for death or personal injury caused by our negligence
- Liability for fraud or fraudulent misrepresentation
- Liability that cannot be limited by law
17. Indemnification
You agree to indemnify, defend, and hold harmless CodeSalvage, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your violation of these Terms
- Your violation of any third-party rights (IP, privacy, etc.)
- Your use of the Platform
- Content you upload or transmit
- Transactions you engage in on the Platform
18. Termination
18.1 Termination by You
You may terminate your account at any time by contacting support. Upon termination:
- Your listings will be removed
- Pending Transactions will be completed
- You will receive any outstanding payouts
18.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- We suspect fraudulent or illegal activity
- Required by law
- You engage in conduct harmful to other users or the Platform
18.3 Effect of Termination
Upon termination:
- Access to your account will be revoked
- Pending Transactions will be handled case-by-case
- We may retain data as required by law or for legitimate business purposes
19. Dispute Resolution
19.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
19.2 Informal Resolution
Before filing a claim, you agree to contact us at [email protected] to attempt informal resolution.
19.3 Arbitration Agreement
Any dispute arising from these Terms or use of the Platform shall be resolved through binding arbitration, except:
- Small claims court disputes (under $10,000)
- IP infringement claims
19.4 Class Action Waiver
YOU AGREE TO BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.
20. Modifications to Terms
20.1 Right to Modify
We reserve the right to modify these Terms at any time. Changes will be effective:
- Immediately for new users
- 30 days after notice for existing users
20.2 Notice of Changes
We will notify you of material changes via:
- Email to your registered address
- Notice on the Platform
20.3 Continued Use
Continued use of the Platform after changes constitutes acceptance of modified Terms.
21. Miscellaneous
21.1 Entire Agreement
These Terms constitute the entire agreement between you and Hanamori Labs, LLC (operating as CodeSalvage) regarding use of the Platform.
21.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
21.3 Waiver
Our failure to enforce any provision does not constitute a waiver of that provision.
21.4 Assignment
You may not assign or transfer your rights under these Terms. We may assign our rights to any affiliate or successor.
21.5 Force Majeure
We are not liable for failure to perform due to causes beyond our reasonable control (natural disasters, war, strikes, internet outages, etc.).

- You have read and understood these Terms
- You agree to be bound by these Terms
- You are at least 18 years old
- You have the authority to enter into these Terms
